ANCHORSTONE / PERSPECTIVES

Governance in an international partnership

Method note · Partnerships and control

METHOD NOTE · NOVEMBER 2026 · ORIGINAL EDITORIAL CONTENT
01

The commercial agreement is only one part

A partnership can appear balanced in its ownership split while leaving decision rights unclear. Budgets, borrowing, investments, key appointments and brand use require understandable rules. Data availability and reporting frequency also form part of project control.

02

Prepare for disagreement before it occurs

Discussing exit conditions, deadlock situations and intellectual-property protection is more useful before signing. There are no universal clauses: sector, jurisdiction and shareholder contributions require dedicated work with competent legal and tax advisers.

03

Consistency between strategy and rights

If the industrial thesis requires quality control or continuity of supply, the agreement should make them achievable. The objective is not to accumulate rights but to identify those needed to execute the project and the responsibilities the Italian business can realistically accept.
